The Responsibilities of a Statutory Secretary
A statutory secretary is different from a business secretary; a statutory secretary is required by Hong Kong Companies Ordinance. The statutory secretary service also acts as a representative for foreigners in Hong Kong. The statutory secretary does not have direct control or ownership of the company. However, if the company faces issues, the statutory secretary bears certain responsibilities. If the Hong Kong company is legally liable, the individual or company serving as the Hong Kong company’s statutory secretary will also be implicated!
Services Provided by a Statutory Secretary
Generally, when registering a company in Hong Kong, businesses choose a registered agency to act as the statutory secretary company. The secretary company can provide a registered address, annual review services for Hong Kong companies, and more. The specific services provided by a statutory secretary include:
1.Providing a registered address and statutory registration secretary.
2.Handling and preserving the company’s statutory records, such as the register of significant controllers and other information.
3.Representing the company in maintaining communication with government departments, and responding to inquiries from government authorities, such as the Hong Kong government's requirement for all Hong Kong companies to conduct KYC due diligence investigations, where the secretary company needs to collaborate with the Hong Kong company to conduct KYC due diligence for government review.
4.Receiving and handling government correspondence on behalf of the company.
5.Providing services for Hong Kong company annual reviews, share changes, business registration certificate replacements, and changes in registered address.
